1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the websites operated by PonieTech Industries, LLC and its subsidiary Looking Glass Robotics, LLC (collectively, "PonieTech," "we," "us," or "our"), including any websites located at www.ponietech.com and any related subdomains, pages, features, or services (collectively, the "Sites").
By accessing or using the Sites, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Sites. These Terms apply to all visitors, users, and others who access the Sites.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date at the top of this page and, where appropriate, by other notice. Your continued use of the Sites after any changes constitutes acceptance of the revised Terms.
2. Use of the Sites
2.1 Permitted use
Subject to these Terms, PonieTech grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Sites solely for your own personal or internal business purposes in connection with evaluating a potential relationship with PonieTech, accessing publicly available information about PonieTech and its subsidiaries, or other lawful purposes consistent with the intended use of the Sites.
2.2 Prohibited conduct
You agree not to:
Use the Sites for any unlawful purpose or in violation of any applicable law or regulation;
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Sites or their content without our express written permission;
Interfere with or disrupt the integrity or performance of the Sites or any systems or networks connected to the Sites;
Attempt to gain unauthorized access to any portion of the Sites, other accounts, computer systems, or networks connected to the Sites;
Use any automated means, including web scrapers, crawlers, spiders, robots, bots, scripts, browser extensions, data mining tools, data extraction tools, harvest tools, or similar automated devices or programs to access, collect, monitor, copy, scrape, extract, or index any portion of the Sites or their content, regardless of purpose, including for competitive intelligence, market research, data aggregation, or any commercial purpose, without our express prior written permission;
Transmit any viruses, malware, or other malicious code through the Sites;
Impersonate any person or entity or misrepresent your affiliation with any person or entity;
Submit false, misleading, or fraudulent information through the Sites;
Use the Sites to send unsolicited communications (spam) to any person;
Frame or link to the Sites in a manner that suggests affiliation with or endorsement by PonieTech without our express written consent.
2A. Web Scraping and Automated Access
2A.1 Prohibition on Automated Access
PonieTech Industries, LLC and Looking Glass Robotics, LLC expressly prohibit the use of any automated means including without limitation web scrapers, crawlers, spiders, robots, bots, scripts, browser extensions, data mining tools, data extraction tools, harvest tools, or any similar automated devices, programs, or processes to access, collect, monitor, copy, scrape, extract, or index any content, data, or information from the Sites, regardless of the purpose of such automated access. This prohibition applies specifically to, but is not limited to, the following purposes: competitive intelligence gathering; market research or analysis; price monitoring; technology monitoring; investor research; data aggregation for resale or commercial use; populating databases; training artificial intelligence or machine learning models; and monitoring changes to Site content over time.
2A.2 Federal and State Law
PonieTech Industries, LLC and Looking Glass Robotics, LLC expressly reserve all rights in the content of these Sites under the Computer Fraud and Abuse Act, 18 U.S.C. § 1030 (CFAA), and applicable state computer fraud and abuse statutes. Unauthorized automated access to these Sites, including web scraping conducted without express written permission, may constitute a violation of the CFAA and applicable state law, and may subject the violator to civil and criminal penalties. By accessing these Sites, you acknowledge that any unauthorized automated access would cause harm to PonieTech for which monetary damages may be an inadequate remedy, and that PonieTech shall be entitled to seek injunctive relief in addition to all other remedies available at law or in equity.
2A.3 Intellectual Property Protection
The Sites contain descriptions of proprietary technology, patent-pending inventions, trade secrets, and confidential business information belonging to PonieTech Industries, LLC and Looking Glass Robotics, LLC. Any automated collection of such information is expressly prohibited. Persons or entities that scrape, collect, or aggregate content from these Sites without authorization shall have constructive notice of this prohibition and may be held liable for misappropriation of trade secrets under the Defend Trade Secrets Act, 18 U.S.C. § 1836, and applicable state trade secret laws, in addition to any claims arising under the CFAA.
2A.4 Permitted Crawling
Notwithstanding the foregoing, PonieTech grants permission to legitimate search engine crawlers including Googlebot, Bingbot, and similar web indexing robots operated by major search engines to index publicly accessible pages of the Sites solely for the purpose of including those pages in general web search results, subject to any instructions provided in our robots.txt file. This limited permission does not extend to scraping or collecting content for any other purpose.
3. Intellectual Property
3.1 Our content
The Sites and all content, features, and functionality thereon, including but not limited to text, graphics, logos, images, data compilations, and software, are the exclusive property of PonieTech Industries, LLC, Looking Glass Robotics, LLC, or their respective licensors and are protected by United States and international intellectual property laws.
You may not use, copy, reproduce, modify, distribute, transmit, display, publish, sell, license, or create derivative works based on any content from the Sites without our express prior written permission, except as expressly permitted by these Terms.
3.2 Trademarks
PONIETECH INDUSTRIES, LOOKING GLASS ROBOTICS, PROJECT JUVET, and other marks, logos, and trade names used on the Sites are trademarks or registered trademarks of PonieTech Industries, LLC or Looking Glass Robotics, LLC. Nothing in these Terms grants you any right to use any trademark, trade name, or logo of PonieTech without our prior written permission.
3.3 Your submissions
If you submit any content, ideas, suggestions, or feedback to us through the Sites ("Submissions"), you grant PonieTech a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Submissions for any purpose. You represent that you have the right to grant this license and that your Submissions do not infringe any third-party rights.
4. Confidential and Proprietary Information
Certain areas of our Sites may contain confidential and proprietary information about PonieTech, its technology, products, and business plans, which are accessible only to authorized users. By accessing such restricted areas, you agree to maintain the confidentiality of such information in accordance with any applicable non-disclosure or confidentiality agreements and to use such information only for the purposes for which access was granted.
Information presented on publicly accessible areas of the Sites is provided for general informational purposes. It does not constitute a disclosure of trade secrets or a waiver of any patent rights, even if such information relates to technology for which patent applications are pending.

THE SITES AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH THE SITES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. PONIETECH DOES NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

IN NO EVENT SHALL PONIETECH'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITES EXCEED ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
9. Indemnification
You agree to indemnify, defend, and hold harmless PonieTech Industries, LLC, Looking Glass Robotics, LLC, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Sites, your violation of these Terms, or your infringement of any third-party rights.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflicts of law principles. Any dispute arising out of or relating to these Terms or your use of the Sites shall be resolved exclusively in the state or federal courts located in Phoenix, Arizona. You consent to personal jurisdiction in such courts and waive any objection to venue.
THESE TERMS CONTAIN A WAIVER OF CLASS ACTION RIGHTS. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
11. General Provisions
11.1 Entire agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and PonieTech regarding your use of the Sites.
11.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid.
11.3 Waiver
No failure or delay by PonieTech in exercising any right under these Terms shall operate as a waiver of that right.
11.4 Assignment
You may not assign these Terms or any rights or obligations hereunder without PonieTech's prior written consent. PonieTech may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
