1. Forward-Looking Statements
1.1 Identification of forward-looking statements
Certain statements made by PonieTech in its websites, presentations, white papers, and other published materials are "forward-looking statements." Forward-looking statements can be identified by words and phrases such as: "anticipate," "believe," "estimate," "expect," "intend," "may," "plan," "project," "will," "would," "should," "could," "target," "goal," "roadmap," "milestone," "on track," "forecast," "projected," "designed to," and similar expressions, or the negative thereof.
Forward-looking statements in PonieTech's materials include, without limitation:
• Projected financial performance, revenue, market share, and growth rates, including projected revenues of $12.4M by Year 7 and any other financial projections;
• Statements about the anticipated development timeline, milestones, and commercial launch of Project Juvet and other products;
• Statements about the anticipated performance characteristics of Project Juvet, including photon fidelity, sensing precision, AI inference speed, and other technical specifications that have not yet been validated in the final commercial product;
• Statements about anticipated regulatory approvals, including FDA 510(k) clearance, FDA PMA approval, CE Mark under EU MDR 2017/745, and IND filings;
• Statements about anticipated partnerships, collaborations, licensing agreements, and government contracts;
• Statements about total addressable market size, competitive positioning, and market penetration;
• Statements about anticipated funding rounds, investment amounts, and use of proceeds.
1.2 Risks and uncertainties
Forward-looking statements involve known and unknown risks, uncertainties, and other factors many of which are beyond PonieTech's control that may cause actual results, performance, timing, or achievements to differ materially from those expressed or implied. These risks include, without limitation:
• Technical risks: The technologies underlying Project Juvet have been demonstrated in laboratory settings by third-party researchers. PonieTech's integration of quantum photonics, bioprinted tissue, and AI inference into a single commercial-grade wearable product involves substantial technical challenges that may not be solvable on the anticipated timeline or at all;
• Regulatory risks: FDA clearance, FDA PMA approval, CE Mark, and other regulatory approvals are not guaranteed. The regulatory pathway for a product combining bioprinted biological tissue, quantum communication hardware, and AI software is novel and may be subject to requirements, conditions, or timelines that cannot be predicted;
• Funding risks: Achievement of development milestones depends on securing sufficient capital. There is no guarantee that anticipated funding rounds will be completed on the projected terms or timeline, or at all;
• Competitive risks: The human-robot interface market is rapidly evolving. Competitors may develop alternative solutions that achieve commercialization before or alongside PonieTech's products;
• Market risks: Projected market sizes, growth rates, and adoption rates are based on third-party estimates and internal analysis and may not materialize as projected;
• Intellectual property risks: Patent applications are filed and there is no guarantee they will be granted. Third parties may challenge PonieTech's IP or assert competing claims;
• Biological and safety risks: Products involving engineered biological tissue are subject to risks related to biocompatibility, immune response, long-term safety, and biological degradation that cannot be fully assessed until human trials are conducted.
1.3 No obligation to update
Forward-looking statements are made as of the date of the document or communication in which they appear. PonieTech does not undertake any obligation to update or revise any forward-looking statement, whether as a result of new information, future events, changed circumstances, or otherwise, except as required by applicable law. Forward-looking statements should not be relied upon as representing PonieTech's assessments as of any date other than the date they were made.
Summary: Any statement about what PonieTech or its products "will" do, "are expected" to achieve, or "are projected" to reach is a forward-looking statement. It is an expression of our current plans and intentions, not a guarantee of future performance or outcomes.
